Terms of Service

The agreement between you and Beakn.

Plain-language summary. By using Beakn, you agree to these terms. We will provide the service as described; you will use it lawfully and pay for it if you are on a paid plan. Either side can terminate with reasonable notice. We limit our liability, because no service runs forever perfectly.

1. Acceptance of terms

These Terms of Service ("Terms") govern your access to and use of the Beakn platform, including our website, API, Windows agent, and related services (collectively, the "Service"), provided by Beakn ("we," "us," or "our").

By creating an account, installing the Beakn agent, or otherwise using the Service, you agree to these Terms. If you are using the Service on behalf of a business, you represent that you have authority to bind that business.

2. Description of service

Beakn provides endpoint health reporting for Managed Service Providers (MSPs) and their clients. The Service collects patch compliance and software inventory data from Windows endpoints via a lightweight agent and generates branded reports for MSPs to deliver to their clients.

3. Accounts and eligibility

You must be at least 18 years old and capable of entering into a binding contract to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

You must provide accurate account information and keep it current. Notify us at support@beakn.app if you suspect unauthorized access to your account.

4. Acceptable use

You agree not to:

Use the Service to violate any applicable law or regulation
Install the agent on endpoints without the owner's authorization
Reverse-engineer, decompile, or disassemble the Service
Attempt to gain unauthorized access to Beakn systems or data
Interfere with or disrupt the Service or the servers and networks that host it
Resell, sublicense, or redistribute the Service except as expressly permitted
Use the Service to transmit malicious code, spam, or other harmful content

5. Customer data

You retain ownership of all data you submit to the Service, including endpoint telemetry and any reports generated ("Customer Data"). You grant Beakn a limited license to process Customer Data solely to provide the Service to you.

You are responsible for obtaining any consents or authorizations required to collect endpoint telemetry from the devices on which you install the agent, including notice to end users where required by law.

6. Fees and payment

Paid plans are billed monthly in advance at the rates published on our pricing page at the time you subscribe. Fees are non-refundable except where required by law.

We may change pricing with at least 30 days' notice to existing customers. Changes take effect on your next renewal.

If your payment fails, we may suspend or terminate your access after reasonable notice and opportunity to cure.

7. Free trial

We offer a 30-day free trial on up to 25 endpoints. At the end of the trial, you must select a paid plan to continue using the Service. We may modify or discontinue the trial program at any time.

8. Intellectual property

The Service, including all software, content, and trademarks, is owned by Beakn or its licensors and is protected by intellectual property laws. We grant you a non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. Nothing in these Terms transfers ownership of the Service to you.

Feedback you provide about the Service may be used by Beakn without restriction and without compensation.

9. White-label and branding

Paid plans at the Pro tier and above include the right to deliver Beakn reports to your clients under your own brand. You may not represent that Beakn is your own proprietary technology or misrepresent the underlying source of the Service.

10. Confidentiality

Each party agrees to protect the other's confidential information with the same care it uses for its own confidential information (and in no event less than reasonable care), and to use it only to perform under these Terms.

11. Warranties and disclaimers

Beakn warrants that the Service will perform substantially as described in our documentation. Except for this warranty, the Service is provided "as is" and Beakn disclaims all other warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

The Service is a reporting tool. It is not a substitute for an RMM, SIEM, or other security product, and Beakn does not guarantee that its reports will identify every patch deficiency or security issue on managed endpoints.

12. Limitation of liability

To the fullest extent permitted by law, Beakn's total liability under these Terms is limited to the greater of (a) the fees paid by you in the twelve months preceding the event giving rise to the claim, or (b) one thousand US dollars ($1,000).

Beakn is not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, loss of data, or business interruption, even if advised of the possibility of such damages.

13. Indemnification

You agree to defend, indemnify, and hold harmless Beakn from any claims, damages, or expenses arising out of your violation of these Terms, your Customer Data, or your use of the Service in violation of applicable law.

14. Term and termination

These Terms remain in effect while you use the Service. Either party may terminate at any time with written notice. Upon termination, your access to the Service ends, and Beakn will delete your Customer Data in accordance with our Privacy Policy.

Beakn may suspend or terminate your account immediately for material breach of these Terms, non-payment after notice, or conduct that poses a risk to Beakn, its customers, or third parties.

Sections that by their nature should survive termination (including confidentiality, intellectual property, limitation of liability, and indemnification) will survive.

15. Governing law

These Terms are governed by the laws of the State of Illinois, without regard to conflict-of-laws principles. Any disputes will be resolved in the state or federal courts located in McLean County, Illinois, and the parties consent to personal jurisdiction there.

16. Modifications to the service or terms

We may modify the Service at any time. For material changes to these Terms, we will notify paid customers by email at least 30 days before the change takes effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.

17. Entire agreement

These Terms, together with our Privacy Policy and any order forms or addenda you sign with us, constitute the entire agreement between you and Beakn regarding the Service. If any provision of these Terms is held unenforceable, the remaining provisions remain in full force.
